When it meets this evening, URTV’s Board of Directors will vote on sweeping changes to the public-access channel’s bylaws. Read those new bylaws here. A two-thirds majority of the board must approve the changes — which eliminate the stations’ current membership structure and put more power in the board’s hands — before they take effect.
One matter not on the printed agenda is the removal of board member Richard Bernier, who has criticized the station’s management. The station’s Executive Committee recommended dismissing Bernier in February, but he took his seat and voted as usual at the board’s March meeting.
However, since then, Board President Jerry Young has announced that Bernier is suspended. URTV’s current bylaws mention a method for removing board members, but no method for suspending them. Bernier has challenged his suspension on those grounds and asserted yesterday that he plans to take his seat.
The meeting is not announced — nor is the agenda or proposed changes to the bylaws posted — on URTV’s Web site. A print copy of the agenda was obtained from URTV at the request of Xpress.
URTV’s current bylaws state that the board may revise the bylaws by the vote of a two-thirds majority of its board of directors, as long as those changes have been distributed to the board and “posted at the principal location of the Corporation no less than seven (7) days before such meeting.”
